Acceptance and Binding Effect

Your access to and continued use of the Services constitutes a legally binding agreement between you and us. These Terms apply to all users including visitors, registered users, candidates, recruiters, employers, enterprise clients, and partners. We reserve the unrestricted right to modify, update, revise, or replace any part of these Terms at our sole discretion. Any such changes shall become effective upon publication on the platform unless otherwise stated. Continued use of the Services after such updates constitutes acceptance of the revised Terms. It is your responsibility to review the Terms periodically.

Eligibility and Authority

You must be at least eighteen years of age or have attained legal majority under the laws applicable in your jurisdiction to use the Services. If you are accessing the Services on behalf of an organisation, company, institution, or other legal entity, you represent and warrant that you have the legal authority to bind such entity to these Terms, and references to "you" shall include that entity.

Description and Scope of Services

The Services may include, without limitation, account creation, profile management, job matching, application processing, recruitment tools, assessments, AI-powered interviews, training modules, analytics dashboards, messaging systems, content hosting, reporting features, and communication tools. The scope, functionality, availability, and structure of the Services may be modified, suspended, enhanced, restricted, or discontinued in whole or in part at any time without prior notice. We do not guarantee uninterrupted or error-free operation of the Services.

User Accounts, Registration, and Security

Certain features require account registration. You agree to provide accurate, complete, and current information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account, whether authorised or unauthorised. You must notify us immediately if you become aware of any unauthorised use, security breach, or compromise of your account. We are not responsible for losses resulting from your failure to secure your credentials.

Intellectual Property and Platform Ownership

All intellectual property rights in and to the Services, including but not limited to software, source code, object code, databases, system architecture, algorithms, AI models, training materials, designs, text, graphics, trademarks, logos, interfaces, documentation, and proprietary methodologies, are owned by us or licensed to us. No rights are granted to you except a limited, revocable, non-transferable licence to access and use the Services for lawful, personal, or internal business purposes in accordance with these Terms. You may not copy, reproduce, modify, distribute, publish, reverse engineer, scrape, decompile, or exploit any part of the Services without our prior written consent.

User Content, Data, and Licences

You retain ownership of all content, information, data, documents, CVs, videos, audio recordings, responses, messages, and materials that you upload or submit through the Services. You represent that you have all necessary rights, permissions, and legal authority to share such content. By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, analyse, reproduce, and use such content solely for the purpose of operating, providing, maintaining, securing, and improving the Services, including AI-based processing where applicable. This licence terminates when your content is deleted, except where retention is required by law or for legitimate business, compliance, or dispute resolution purposes.

Acceptable Use and Prohibited Conduct

You agree not to engage in any activity that may harm the Services, other users, or the Company, including but not limited to using bots, scrapers, automation tools, or scripts without explicit permission; attempting to gain unauthorized access to systems, networks, or data; uploading or transmitting malicious code, malware, or harmful content; providing false, deceptive, defamatory, obscene, or unlawful information; violating privacy, confidentiality, or intellectual property rights; interfering with platform performance, integrity, or availability; using the Services for fraudulent, abusive, discriminatory, or unlawful purposes; or breaching applicable local or international laws and regulations, and the Company reserves the right to investigate, suspend, or terminate access for any violation without prior notice.

Third Party Services and Integrations

The Services may integrate with or link to third party platforms, APIs, payment gateways, communication tools, or external services. We do not control and are not responsible for the content, performance, data handling, availability, security, or practices of third parties. Your use of third party services is governed by their respective terms and policies, and you acknowledge that such use is at your own risk.

Fees, Payments, Subscriptions, and Refunds

Certain Services may be offered on a paid, subscription-based, or usage-based model. You agree to pay all applicable fees as displayed at the time of purchase. Payments are processed through third party payment processors, and we do not store your payment information. Unless expressly stated otherwise in writing, all fees are non-refundable, non-transferable, and exclusive of applicable taxes. We reserve the right to modify pricing, introduce new charges, or suspend access for non-payment.

Data Protection and Regulatory Compliance

We process personal data in accordance with applicable data protection laws. For enterprise or institutional clients, a separate Data Processing Agreement may be executed to govern roles, responsibilities, and safeguards relating to personal data under GDPR or other relevant frameworks. In the event of conflict between these Terms and a validly executed DPA, the DPA shall prevail with respect to data protection matters only.

Disclaimers and Limitation of Liability

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties including accuracy, reliability, fitness for a particular purpose, non-infringement, and uninterrupted availability. We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages including loss of revenue, profit, data, reputation, or business opportunity arising out of or related to the use of the Services, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless us, our directors, officers, employees, affiliates, and partners from any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your use of the Services, your content, your violation of these Terms, or your breach of any applicable law or third party rights.

Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time if we reasonably believe that you have violated these Terms, misused the platform, engaged in harmful conduct, or posed legal, security, or reputational risks. Upon termination, your right to use the Services ceases immediately. Provisions relating to intellectual property, liability, indemnification, and governing law shall survive termination.

Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the People's Republic of Bangladesh. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be resolved through good-faith negotiations. If unresolved, the dispute shall be referred to arbitration under the Arbitration Act 2001 of Bangladesh. The seat and venue of arbitration shall be Dhaka, and the arbitral award shall be final and binding on the parties.
